Madrid, Spain; Abu Dhabi, UAE, March 24, 2025 – Abu Dhabi Future Energy Company PJSC – Masdar, the UAE’s clean energy leader, announced today an agreement with Endesa S.A. to acquire a 49.99 percent stake in four solar plants in Spain, with a total capacity of 446 megawatts (MW). The transaction, which is subject to regulatory approvals and other conditions, would see Masdar invest €184 million for the stake in the assets, which have an enterprise value of €368 million.

These operating assets mark a significant milestone in Masdar’s continued growth in the Iberian Peninsula and across Europe, and further its commitment to advancing the region’s renewable energy ambitions. The proposed acquisition follows last year’s agreement between Masdar and Endesa to partner in a portfolio of over 2GW of solar assets, with the potential to add 0.5GW of battery storage, in one of Spain’s biggest renewable energy transactions in recent years.

Masdar’s continued partnership with Endesa is expected to play a significant role in helping Spain meet its National Energy and Climate Plan (NECP) targets. Last year, Masdar also acquired Saeta, an established renewables platform with an operating portfolio of 745MW of predominantly wind assets, and a 1.6GW development pipeline in Spain and Portugal. This latest transaction brings Masdar’s total operational capacity in the Iberian Peninsula to 3.2GW.

Masdar is committed to supporting the EU reach its 2050 net-zero targets. Last month, Masdar and global energy leader Enel Group, to which Endesa belongs, signed a Memorandum of Understanding (MoU) to explore potential renewable energy opportunities in countries including Italy, Spain, and Germany.

Riyadh, Saudi Arabia – March 23, 2025: Tanmiah Food Company, one of the Middle East’s leading providers of fresh poultry, processed proteins, animal feed, health products, and a restaurant operator, is pleased to announce a new partnership with Emerge, a joint venture between Masdar and the EDF Group. The agreement was signed at the Ministry of Environment, Water, and Agriculture by Zulfiqar Hamadani, Group CEO of Tanmiah Food Company, and Michel Abi Saab, General Manager of Emerge.

As part of this collaboration, Emerge will develop a 3 megawatt-peak (MWp) solar power plant at Tanmiah’s facility in Haradh, reinforcing our commitment to sustainability and supporting the Kingdom’s clean energy objectives.

Under the agreement, Emerge will provide a full turnkey solution for Tanmiah, including finance, design, procurement, construction, operations, and maintenance of the installation for 25 years. The solar power plant will provide 35% of the electricity required to run the agriculture processing facility, avoiding more than 3,850 tonnes of CO₂ annually. This is equivalent to more than 800 households’ electricity usage for a year.

Las Majadas wind project will supply clean power to co-located data center;
Agreement provides an innovative solution to capture under-utilized electricity from wind farm.

SAN DIEGO, United States and ABU DHABI, United Arab Emirates (March 4, 2025): EDF Renewables North America and Abu Dhabi Future Energy Company – Masdar, co-owners of the Las Majadas Wind Project, have entered into a power purchase agreement (PPA) with data center developer and operator Soluna Holdings, Inc. (Soluna), (NASDAQ: SLNH). 

Under the terms of the agreement, Soluna will purchase up to 166 megawatts (MW) of energy produced by the Las Majadas Wind Project to power a Soluna data center to be built close to the wind project’s substation. 

Soluna’s data center, named Project Kati, will utilize behind-the-meter power generated by the wind project, while also curtailing their operations under certain market conditions when energy is most needed by the grid. This innovative PPA structure provides a flexible solution to the challenges of transmission constraints and curtailment, essentially allowing an alternate route to capture under-utilized electricity. In parallel, it provides clean power to an energy intensive operation—advanced computing applications, including artificial intelligence (AI).

Electricity consumption from data centers is growing and expected to reach 1,000 TWh, with the AI boom driving increased global demand. Renewable energy is expected to play a key role in supplying data centers with electricity, while helping suppliers meet net-zero targets.

The framework agreement, signed by Mohamed Jameel Al Ramahi, Chief Executive Officer of Masdar, TAQA Group CEO Jasim Husain Thabet, and Eni CEO Claudio Descalzi, aims to facilitate collaboration on progressing the tripartite initiative, focusing on the establishment of a collaborative framework for signing a long-term power off-take agreement in Italy for the renewable energy capacity to be produced in Albania and transmitted through the cross border interconnection between Albania and Italy. Masdar – the UAE’s flagship renewable energy company – and TAQA Transmission were nominated as designated entities from the UAE and Korporata Elektroenergjitike Shqiptare (KESH) – Albania Power Corporation and OPERATORI I SISTEMIT TE TRANSMETIMIT SHQIPTARE (OST) were nominated as designated entities from Albania on the tripartite initiative, while Eni was identified as the preferred potential off-taker.

Masdar, the UAE’s clean energy leader, has significantly expanded its portfolio in Europe, completing two landmark acquisitions in the Iberian Peninsula to advance its ambitious growth plans.

Masdar acquired Saeta Yield (“Saeta”) from Brookfield Renewable Partners (NYSE: BEP, BEPC; TSX: BEP.UN, BEPC), together with its institutional partners (“Brookfield”), for an enterprise value of €1.2 billion and an equity value of €696 million.

Additionally, Masdar and Endesa S.A. (“Endesa”) finalized a partnership agreement to advance renewable energy initiatives in Europe. Under this agreement, Masdar has acquired a 49.99 percent stake in EGPE Solar for an enterprise value of €817 million, and an equity value of €280 million. EPGE Solar is a subsidiary of Enel Group’s Endesa, which owns a 2 gigawatt (GW) portfolio of operational photovoltaic (PV) assets in Spain.

The partnership with Endesa advances both Spain’s and the EU’s energy transition goals, serving as a strategic steppingstone for future collaboration. Under the terms of the agreement signed on July 25, 2024, Masdar’s investment secures a substantial interest in EGPE Solar, while Enel retains operational control of the company and its assets. The partnership includes long-term power purchase agreements (PPAs) under which Endesa, through a subsidiary, will acquire 100 percent of the energy produced by the photovoltaic assets. Endesa and Masdar aim to add 0.5GW of battery energy storage system (BESS) to the projects.

Masdar’s strategic investments in the Iberian market follow its recent acquisition of a majority share in TERNA ENERGY in Greece in November. Saeta, TERNA ENERGY and the partnership with Endesa will play an important role in enhancing Masdar’s portfolio across Europe as it targets 100GW global capacity by 2030 in support of the energy transition.

Abu Dhabi Future Energy Company PJSC – Masdar (“Masdar”), the UAE’s clean energy leader, announced today that it has successfully completed the acquisition of 70% of the outstanding shares of TERNA ENERGY SA (TENERGY.AT) from GEK TERNA SA (GEKTERNA.AT) and other shareholders, and received all regulatory approvals. The deal, agreed at a price of 20 euros per share, valued TERNA ENERGY at an enterprise value of 3.2bn euros, representing the largest ever energy transaction on the Athens Stock Exchange, and one of the largest in the EU renewables industry.

Following the closing of the transaction, Masdar will seek regulatory approvals from the Hellenic Capital Markets Commission (HCNC), for the launch of an all-cash mandatory tender offer (“MTO”) to acquire the outstanding shares of TERNA ENERGY.

Abu Dhabi Future Energy Company PJSC – Masdar, the UAE’s clean energy powerhouse, and China’s Silk Road Fund (SRF) have signed a Memorandum of Understanding (MoU) to explore potential co-investment opportunities in renewable energy projects in Belt and Road Initiative (BRI) countries, primarily in the developing world and global south.

The MoU was signed at COP29 by Masdar Chief Executive Officer, Mohamed Jameel Al Ramahi and the Silk Road Fund Chairwoman, ZHU Jun.

Under the MoU, Masdar and Silk Road Fund will establish a strategic partnership to pursue co-investment opportunities in renewable energy projects developed, invested in or operated by Masdar. Silk Road Fund plans to invest up to RMB 20 billion (equivalent to USD 2.8 billion) in projects alongside Masdar.

Masdar has significant investments in the Middle East, Central Asia, Southeast Asia and Africa, many of which are participants in the Belt and Road Initiative. The company will continue to invest in these regions as part of its strategy to reach 100GW renewable energy capacity by 2030.

Abu Dhabi Future Energy Company PJSC (Masdar) and Korporata Elektroenergjitike Shqiptare (KESH) – Albania Power Corporation - have signed a joint venture term sheet agreement to explore the development of gigawatt-scale renewable projects in Albania.

The signing ceremony took place in Baku, Azerbaijan on the sidelines of COP29, witnessed by the Prime Minister of Albania, HE Edi Rama, His Excellency Dr. Sultan Al Jaber, UAE Minister of Industry and Advanced Technology, COP28 President and Chairman of Masdar, and Her Excellency Belinda Balluku, Deputy Prime Minister and Minister of Infrastructure and Energy for Albania. The agreement was signed by Mohamed Jameel Al Ramahi, Chief Executive Officer of Masdar, and Erald Elezi, Chief Executive Officer of KESH.

The joint venture term sheet agreement aims to develop, construct, and operate renewable energy projects utilizing a range of renewable technologies, including solar PV, wind, and hybrid solutions, with potential integration of battery storage. ADNOC, Masdar and Microsoft have jointly published a new report titled “Powering Possible: AI and Energy for a Sustainable Future” exploring the transformative potential of artificial intelligence (AI) in driving the global energy sector towards a net zero future. The report highlights AI’s potential to optimize energy efficiency, manage complex energy systems, reduce greenhouse gas emissions, and innovate carbon-free energy solutions while addressing the growing energy demands of AI technology itself.

To create the report, the authors surveyed more than 400 experts across the fields of energy, technology and AI, academia and finance, including His Excellency Omar Al Alama, UAE Minister of State for Artificial Intelligence; Jensen Huang, CEO of NVIDIA; Larry Fink, CEO of BlackRock; Professor Anima Anadkumar of Caltech; and Patrick Pouyanné, CEO of TotalEnergies. The survey revealed that 92% of energy executives believe AI will have a significant impact on improving energy efficiency by 2030, and that by 2050, 97% expect AI to play a central role in developing new energy solutions. These findings emphasize AI’s potential to decarbonize traditional energy sources, drive efficiency gains and accelerate the energy transition.

The report has been published in advance of the ENACT Majlis, convened by H.E. Dr. Sultan Al Jaber, Minister of Industry and Advanced Technology, Chairman of Masdar, and ADNOC Managing Director and Group CEO. The ENACT Majlis is a CEO gathering of 60 world leaders in technology, energy and finance to seize the opportunities and find the solutions that embrace rapid and sustainable AI growth, to be held in Abu Dhabi on November 3.

The report highlights AI’s capacity to reduce methane emissions – a greenhouse gas that is 80 times more effective at trapping heat than carbon dioxide (CO2).
